1. Introduction and Acceptance

Welcome to Squiz! These Terms of Use (“Terms”) govern your access to and use of the Squiz mobile application (“App”), operated by Nagellabs (“we,” “our,” or “us”).

By downloading, installing, or using Squiz, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the App.

These Terms work alongside our Privacy Policy, which describes how we collect and use your information.

2. Description of Service

Squiz is an educational flashcard application that provides various features and services to help you learn. Our services include, but are not limited to:

• Create, organize, and study flashcards
• Generate flashcards using AI technology
• Track your learning progress
• Share content with other users
• Access premium features through subscription

We may add, modify, or remove features at any time without prior notice. Your continued use of the App constitutes acceptance of any such changes.

3. Eligibility and Account Registration

Age Requirements

You must be at least 13 years old (or 16 in certain jurisdictions) to use Squiz. By using the App, you represent that you meet this age requirement.

If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access

We reserve the right to suspend or terminate accounts that violate these Terms.

4. User Content

Your Content

“User Content” includes all flashcards, decks, folders, text, images, and other materials you create or upload to Squiz.

You retain ownership of your User Content. We do not claim ownership over the flashcards and study materials you create.

License to Us

By creating or uploading User Content, you grant us a worldwide, non-exclusive, royalty-free license to:

• Host, store, and back up your content
• Display your content to you across your devices
• Share your content with users you authorize
• Make public content available to other users (if you choose to make it public)

This license exists solely to operate and improve the App. We will not sell your User Content in identifiable form, though anonymized and aggregated data may be shared as described in our Privacy Policy.

Your Responsibilities

You represent and warrant that:

• You own or have the necessary rights to your User Content
• Your content does not infringe any third-party rights
• Your content complies with all applicable laws
• Your content does not contain harmful, offensive, or illegal material

5. AI-Generated Content

How AI Features Work

Squiz offers AI-powered features that generate flashcard content based on your inputs (text prompts, uploaded images, documents, or URLs).

Ownership of AI-Generated Content

AI-generated flashcards created through your use of the App are treated as your User Content. You may use, modify, and share them according to these Terms.

Important Disclaimers

Accuracy: AI-generated content is provided “as is.” We do not guarantee the accuracy, completeness, or reliability of AI-generated flashcards. You are responsible for reviewing and verifying all AI-generated content before use.

Educational Use: AI-generated content is intended for educational and personal study purposes. It should not be relied upon as professional, medical, legal, or financial advice.

Your Responsibility: You are responsible for:

• Reviewing AI-generated content for accuracy
• Ensuring AI-generated content does not infringe third-party rights
• Not using AI features to generate harmful, illegal, or inappropriate content
• Compliance with all applicable laws regarding your use of AI-generated content

Prohibited AI Uses

You may not use AI features to:

• Generate content that infringes copyrights, trademarks, or other intellectual property
• Create misleading, fraudulent, or deceptive content
• Generate hate speech, harassment, or content promoting violence
• Produce content that exploits or harms minors
• Circumvent content safety measures
• Generate content for illegal purposes

6. Sharing and Public Content

Sharing Features

You may share decks and folders with other users via share links. When you share content:

• Recipients can view and copy your content to their library
• Your display name (if set) may be shown as the creator
• You can disable share links at any time

Public Decks

If you make a deck public:

• Any Squiz user can discover, view, and copy your deck
• Your display name may be visible to other users
• You can make decks private again at any time

Shared Content Responsibility

You are solely responsible for the content you share. Do not share content that:

• You do not have the right to share
• Contains personal information of others without consent
• Violates any applicable laws or third-party rights

7. Subscriptions and Payments

Premium Features

Squiz offers premium features through paid subscriptions (“Squiz Premium”).

Payment Processing

All payments are processed by Apple (App Store) or Google (Play Store). We do not directly collect or store payment information.

Subscription Terms

• Subscriptions automatically renew unless cancelled
• You can manage subscriptions through your device's app store settings
• You must cancel your subscription at least 24 hours before the end of the current billing period to avoid being charged for the next period

Refunds

Refunds for subscription purchases are handled in accordance with industry standards and the policies of the platform through which you made your purchase:

• Google Play: You may be eligible for an automatic refund within 48 hours of purchase. After 48 hours, refund requests are reviewed on a case-by-case basis.
• Apple App Store: Refund requests are reviewed individually by Apple regardless of when the request is made.

To request a refund, you may:

• Submit a refund request directly through Apple's Report a Problem or Google Play Order History
• Contact us at support@nagellabs.com for assistance with your refund request

Please note that we do not directly process refunds for purchases made through Apple or Google. All refund decisions are ultimately made by the respective platform in accordance with their policies.

Price Changes

We may change subscription prices. Price changes will not affect your current subscription period but may apply upon renewal.

8. Acceptable Use Policy

You agree NOT to:

Harmful Activities

• Use the App for any illegal purpose
• Harass, abuse, or harm other users
• Impersonate any person or entity
• Interfere with or disrupt the App's operation

Technical Violations

• Attempt to gain unauthorized access to our systems
• Reverse engineer, decompile, or disassemble the App
• Use automated scripts, bots, or scrapers
• Circumvent any security or access controls
• Introduce viruses, malware, or harmful code

Content Violations

• Upload content that infringes intellectual property rights
• Share content containing personal data of others without consent
• Distribute spam, advertising, or promotional material
• Create content that is defamatory, obscene, or offensive

Commercial Misuse

• Resell or redistribute the App or its content
• Use the App for commercial purposes without authorization
• Scrape or harvest user data

9. Intellectual Property

Our Rights

The Squiz App, including its design, features, code, graphics, and branding, is owned by Nagellabs and protected by intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to use the App for personal, non-commercial purposes in accordance with these Terms.

Restrictions

You may not:

• Copy, modify, or create derivative works of the App
• Use our trademarks, logos, or branding without permission
• Remove any copyright or proprietary notices

Feedback

If you provide suggestions or feedback about the App, you grant us the right to use such feedback without obligation to you.

10. Third-Party Services and Advertising

The App may integrate with third-party services:

• Authentication: Google Sign-In, Apple Sign-In, Email and Password
• Payments: Apple App Store, Google Play Store
• AI Services: Third-party AI providers
• Advertising: Third-party advertising networks

Advertising

The App may display advertisements from third-party advertising networks. These networks may collect and use certain information about your device and usage patterns to display relevant ads. By using the App, you consent to the display of such advertisements.

Your use of third-party services is subject to their respective terms and policies. We are not responsible for third-party services or the content of advertisements.

11. Disclaimers

“As Is” Service

THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

We disclaim all warranties, including but not limited to:

• Merchantability and fitness for a particular purpose
• Accuracy, reliability, or completeness of content
• Uninterrupted or error-free operation
• Security or freedom from viruses

Educational Content

Squiz is a study tool. Content on the App, including AI-generated content, is for educational purposes only and should not replace professional advice or verified educational materials.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of data or content
• Loss of profits or revenue
• Interruption of service
• Errors in AI-generated content
• Actions of other users

Our total liability shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or $100 USD, whichever is greater.

Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.

13. Indemnification

You agree to indemnify and hold harmless Nagellabs, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the App
• Your User Content
• Your violation of these Terms
• Your violation of any third-party rights

14. Account Termination

By You

You may delete your account at any time through the App settings. Upon deletion:

• Your account and all associated data will be permanently deleted
• Active subscriptions should be cancelled separately through your app store

By Us

We may suspend or terminate your account if you:

• Violate these Terms
• Engage in fraudulent or illegal activity
• Abuse the App or other users

We may also terminate accounts for prolonged inactivity or discontinuation of the service.

Effect of Termination

Upon termination:

• Your right to use the App ceases immediately
• We may delete your data (except as required by law)
• Provisions that should survive termination will remain in effect

15. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by:

• Posting updated Terms in the App
• Updating the “Last Updated” date
• Sending an email notification for significant changes

Continued use of the App after changes constitutes acceptance of the updated Terms.

16. Governing Law and Disputes

Governing Law

These Terms are governed by the laws of Israel, without regard to conflict of law principles.

Dispute Resolution

Any disputes arising from these Terms or your use of the App shall be resolved through:

1. Informal Resolution: Contact us first at support@nagellabs.com to attempt resolution
2. Binding Arbitration: If informal resolution fails, disputes shall be resolved through binding arbitration
3. Exception: Either party may seek injunctive relief in court for intellectual property violations

Class Action Waiver

You agree to resolve disputes individually and waive any right to participate in class action lawsuits or class-wide arbitration.

17. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Nagellabs regarding the App.
• Severability: If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.
• Waiver: Our failure to enforce any provision does not waive our right to enforce it later.
• Assignment: You may not assign your rights under these Terms. We may assign our rights to any successor or affiliate.
• No Agency: Nothing in these Terms creates a partnership, joint venture, or agency relationship between you and Nagellabs.

18. Apple App Store Terms

The following terms apply to your use of Squiz when downloaded from the Apple App Store:

Acknowledgment

You acknowledge that these Terms are concluded between you and Nagellabs only, and not with Apple Inc. (“Apple”). Nagellabs, not Apple, is solely responsible for Squiz and its content.

Scope of License

The license granted to you for Squiz is limited to a non-transferable license to use Squiz on any Apple-branded products that you own or control and as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions, except that Squiz may be accessed and used by other accounts associated with you via Family Sharing or volume purchasing.

Maintenance and Support

Nagellabs is solely responsible for providing any maintenance and support services with respect to Squiz, as specified in these Terms or as required under applicable law. You acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to Squiz.

Warranty

Nagellabs is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of Squiz to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for Squiz to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to Squiz, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be Nagellabs' sole responsibility.

Product Claims

You acknowledge that Nagellabs, not Apple, is responsible for addressing any claims you or any third party may have relating to Squiz or your possession and/or use of Squiz, including but not limited to: (i) product liability claims; (ii) any claim that Squiz fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation.

Intellectual Property Claims

In the event of any third-party claim that Squiz or your possession and use of Squiz infringes that third party's intellectual property rights, Nagellabs, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim.

Legal Compliance

You represent and warrant that: (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist supporting” country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

Third-Party Terms of Agreement

You must comply with applicable third-party terms of agreement when using Squiz, including your wireless data service agreement.

Third-Party Beneficiary

You acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of these Terms, and that, upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary thereof.
